Description

THIS AGREEMENT was made the 1st day of September 2007 and updated November 2012

B E T W E E N :-

(1) HAMPSHIRE AND ISLE OF WIGHT WILDLIFE TRUST (HIoWWT), registered charity no. 201081, registered company number 00676313, whose registered office is at Vicarage Lane, Curdridge, Hampshire, SO32 2DP, and

(2) The Geocaching Association of Great Britain (GAGB).

BACKGROUND:
1. HIoWWT manages a number of wildlife reserves in Hampshire and on the Isle of Wight.

2. GAGB wishes to enable its members to place caches on certain of these reserves with the agreement of HIoWWT.

HIoWWT gives permission to place caches on agreed sites subject to the following conditions:

a) No cache should be placed without the prior written agreement of HIoWWT. Any member of GAGB wishing to place a cache on a HIoWWT site should contact feedback@hwt.org.uk. HIoWWT will consider the request on a case by case basis in the context of the suitability of the site for a geocache and will respond to the member in question. If permission is granted HIoWWT will ask an appropriate officer to contact the member so that arrangements can be made to place the cache on site when that officer is present and approves the placing of the cache. Details of its location should be sent to the offices of HIoWWT by the member. GAGB will be responsible for ensuring that correct details are placed on its website.

b) The cache container should be clearly marked, stating that the content is harmless and giving the placers email address or other contact method. Only items that would be deemed safe and acceptable for an unaccompanied child to find should be placed in the cache.

c) No items of food or drink should be placed in the cache.

d) Caches must not:
· Be buried and holes must not be dug to place a cache
· Be hidden in animal holes or runs
· Not be placed in a polythene bag

e) Maintenance of the cache is the responsibility of the placer.

f) HIoWWT will review placed caches on an annual basis and reserve the right to remove caches at any time. If individual caches are removed, GAGB must publicise the fact that these are no longer in place by having a section on its website that states which caches have been removed with the appropriate date.

Period of Agreement:
This Agreement shall be deemed to have commenced in November 2012 and will continue until September 2015 when it will be reviewed.

Termination:
Without prejudice to any other right which either party may have against the other this agreement may be determined by:
· either party giving to the other not less than 1 months written notice of termination of the agreement at any time;
· either party giving to the other 28 days notice of having committed a material breach of this Agreement which that other party has failed to remedy after having been given reasonable notice; or
· either party being dissolved, struck off the register by the Registrar of Companies, or otherwise ceasing to exist.

Should the agreement be terminated, GAGB have a duty to ensure that all caches are removed. GAGB should also publicise the fact that there are no longer caches on HIoWWT sites.

Formal Meetings:
Representatives duly authorised to act on behalf of each party in relation to this Agreement shall meet at least annually during the month of September during every year which this Agreement is in force to review the arrangements in place.

Service of Notices etc:
It is hereby agreed between the parties that notice shall be deemed validly given if it is delivered or sent to the registered office of the intended recipient by special or recorded delivery.

Wildlife Reserves:
A map overlay (.kml) showing the area covered by Hampshire and Isle of Wight Wildlife Trust reserves can be downloaded here.
The map overlays can be downloaded and opened in Google Earth which is a free download for a PC and also as apps for Apple and Android. (N.B. These maps do not form part of any legal representation of land ownership and are created simply as a guide to areas for the purposes of placing a geocache container or marking an area where these are not permitted).
